Legal — Terms

Terms of service, without the maze.

The ground rules for working with the studio and using this site. Each project SOW adds the specifics — scope, timeline, and fees.

Last updated — September 23, 2026

01 — What we do

AIPurrjects is an AI consulting and engineering studio. We provide strategy, custom software development, model fine-tuning, RAG systems, and related services as described in each project proposal or statement of work (SOW).

Proposals, emails, and SOWs define scope, timeline, and fees for a given engagement. Where they conflict with these terms, the signed SOW controls.

02 — Working together

Estimates are made in good faith based on the information you share. Fixed-scope work proceeds as agreed; anything outside scope is quoted separately before we build it.

You agree to provide timely feedback, decisions, and any materials or access we reasonably need (data, APIs, credentials). Delays on your side may shift delivery dates.

We work with a limited number of clients at a time and may decline or pause work that conflicts with capacity, legality, or safety.

03 — Intellectual property

Unless the SOW says otherwise: on final payment, you own the deliverables built specifically for you — code, integrations, and documentation we hand over.

We retain our pre-existing tools, libraries, templates, know-how, and any general-purpose components developed across engagements, along with the right to reuse general learnings that don't expose your confidential information.

You retain all rights in your data, trademarks, and confidential information, and you confirm you have the rights to share anything you give us.

04 — Confidentiality

Each side agrees not to disclose the other's non-public information shared during an engagement, and to use it only for that engagement. This doesn't apply to information that is public, independently developed, or required to be disclosed by law (with prompt notice where allowed).

Contact-form briefs are treated as confidential and shared only within the studio team.

05 — Fees & payment

Fees, deposits, and payment schedules are set in the proposal or SOW. Work typically begins after any agreed deposit clears.

Late payments may pause work. You are responsible for any taxes or duties applicable in your jurisdiction, excluding taxes on our income.

06 — A note on AI systems

AI systems are probabilistic: outputs from models, agents, and retrieval pipelines can be incomplete or incorrect. We engineer guardrails, evaluation, and review steps, but you are responsible for human oversight of production use and for decisions made from system outputs.

You agree not to use deliverables to violate law, infringe rights, or produce harmful, deceptive, or unlawful content, and to comply with the usage policies of any underlying model or platform providers.

07 — Warranties & liability

We perform services with professional care and skill. Except as expressly agreed in an SOW, services and this website are provided "as is" without warranties of any kind, express or implied.

To the maximum extent permitted by law, neither side is liable for indirect, incidental, consequential, or lost-profit damages. Our total liability for any engagement is limited to the fees paid for that engagement in the 6 months before the claim arose.

08 — This website

We may update the site and these terms from time to time. Continued use of the site after changes take effect means you accept the updated terms.

09 — Law & contact

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will first be addressed through good-faith discussion, then in the state or federal courts located in San Francisco, California.
